By accessing or using Offer Relay ("the Platform," "we," "us," or "our") at offerrelay.app, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users including investors, wholesalers, and visitors.
Offer Relay is a real estate deal marketplace that connects wholesale deal sources with verified real estate investors. The Platform provides deal matching, anonymous communication relay, and deal pipeline management tools. We are a technology platform only — we are not a licensed real estate broker, agent, or financial advisor, and nothing on the Platform constitutes real estate, legal, or investment advice.
You must be at least 18 years old and legally authorized to enter into contracts in your jurisdiction to use the Platform. By creating an account you represent that all information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
Investor accounts are currently free during our beta period and are subject to an approval process. We reserve the right to introduce investor pricing in the future with at least 30 days' advance notice via email and in-app notification. We also reserve the right to approve, deny, suspend, or terminate investor accounts at our sole discretion. Approved investors may view matched deals and communicate with deal sources through the Platform's relay system. Approval does not constitute an endorsement of any deal or investment strategy.
Wholesaler access requires a paid subscription. Subscription fees are billed monthly in advance and are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.
Subscriptions automatically renew unless canceled before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. We use Stripe to process payments — your payment information is never stored on our servers.
Wholesalers are solely responsible for the accuracy of all deal information submitted to the Platform. You represent that you have the legal right to market any property you submit. Offer Relay does not verify deal details, property condition, title status, or any other information in submitted deals. Investors are responsible for performing their own due diligence before making any purchasing decisions.
The Platform provides an anonymous email relay to facilitate communication between parties. This relay is provided as a convenience — Offer Relay is not a party to any transaction and is not responsible for the content of communications or the outcome of negotiations conducted through the relay.

Offer Relay is not a licensed real estate brokerage and does not represent buyers or sellers. The Platform is a software tool only. Any real estate transaction initiated through connections made on the Platform is conducted solely between the parties involved. Consult a licensed real estate professional in your jurisdiction before making any purchasing decisions.
All content, trademarks, and technology on the Platform are owned by or licensed to Offer Relay. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You retain ownership of any deal information you submit but grant us a license to display and process it within the Platform.
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or that any deal information is accurate, complete, or suitable for any purpose. Your use of the Platform is at your sole risk.
To the fullest extent permitted by law, Offer Relay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or investment losses, arising from your use of the Platform or any transaction conducted as a result of connections made through it. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive, including limitations of liability and dispute resolution.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Texas, except that either party may seek injunctive relief in court for intellectual property matters.
We may update these Terms at any time. We will notify registered users of material changes by email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
